[ 직무 소개 ]

■ CJ제일제당의 글로벌 사업 전반에 대한 법률 자문 수행
   1) 계약검토/법률상담
   2) 해외투자 (M&A, JV,지배구조개편 등)
   3) 소송/분쟁 대응

■ Seeking a legal counsel to assist and advise the company on its various global legal affairs in support of all business units, primarily in support of the following:

   1) Contract drafting and review/ Providing legal advice on a variety of regulatory and transactional matters

   2) Overseas investments (e.g., M&A, JV) and corporate restructuring

   3) Litigation and dispute resolution 

[ 주요 업무 ]

■ 계약서 (영문) 검토 및 법률 자문
  • 계약서(주 언어: 영문) (주요 유형: 구매/공급/용역위탁/기술라이선스 등) 작성 및 검토
  • 해외 법률 관련 검토 및 자문 및 지원

■ 글로벌 M&A 및 투자 관련 법률 자문 및 거래 지원
  • 해외 M&A, JV, 투자, 지분 인수/매각 거래에 대한 구조 및 법률 검토
  • 법률실사 대응 및 거래 문서 (SPA/SHA 등) 작성 및 검토

■ 글로벌 분쟁/리스크 대응 및 관리
  • 해외 소송 등 분쟁 절차 대응 및 리스크 관리

■ Contract/Legal Review

• Draft, review, and negotiate a wide range of commercial contracts, including but not limited to confidentiality, agreements, customer and supplier agreements, service agreements, MOUs/LOIs, and technology agreements.

• Engage in legal research and analysis of laws and regulations that impact the business

■ Overseas investment (M&A and other transactions)

• Draft and review purchase/shareholders agreements, and ancillary transaction documents pertaining to various global investment projects (e.g., M&A, JV, other corporate restructuring)

• Engage in and assist with legal due diligence

• Provide strategic legal advice from structuring through closing

■ Dispute/Risk Management

• Manage disputes and claims, including post-execution issues

• 지원자격

  • 해외 (미국 등) 변호사 자격

  • 해외변호사 자격 취득 후 3~6년 법무 경력

  • 글로벌 M&A 및 영문계약 작성 및 검토 실무 경력

  * 1차 면접 전/후로 영문 계약 검토 test 있음

  • 영문 및 국문 커뮤니케이션 (구두+서면) 역량

   

  • Licensed and in good standing to practice law in any U.S. or other jurisdictions in which English is the official or primary language

  • 3-6 years of legal experience after admission to the bar

  • Experience in drafting and review of agreements and other documents in global M&As and similar transactions

  * The recruitment process includes written assessment of the candidates’ contract review skills

  • Proficiency in both Korean and English, both verbal and written

    • 인하우스 해외법무 (해외계열사와의 협업 포함) 또는 cross-border deal 로펌  업무 경력 우대

    
    

    • In-house legal experience in support of global legal affairs (including liasing/collaborating with overseas affiliates) or law firm experience with cross-border deal practices preferred
